Terms of service
The agreement between Vempus Technologies Pvt. Ltd. and a school using Timelino. Written to be read once and understood, not to be survived.
1 · Who this is between
These terms are between Vempus Technologies Pvt. Ltd. ("we", "us") and the school or trust that opens a Timelino account ("you"). The person who opens the account confirms they are authorised to bind the school.
2 · The term
One academic year, starting the day your account goes live. There is no multi-year lock-in and no automatic escalation. You may decline to renew at the end of a term for any reason, or none.
3 · What you pay
A per-student, per-year fee based on the roll as it stands at the start of the academic year, invoiced annually in advance, plus GST. Students who join later are added pro-rata at the next invoice. Students who leave are not refunded and do not count again the following year. We do not re-count your roll mid-year looking for growth to bill.
4 · Fees your school collects
We never handle your money. Parents pay your school directly, by whatever method you accept. Timelino records what a parent says they paid, holds their proof, and issues a numbered receipt once your office confirms it against your bank. We are not a payment gateway, take no commission and hold no funds in escrow. Reconciling your bank account remains your responsibility.
5 · Who owns the data
You do. Everything in your account — students, attendance, fees, receipts, marks — belongs to your school. We process it on your instructions to provide the service, and for nothing else. You can export all of it as CSV at any time, without asking us.
6 · What we owe you
- The service, available and working, with nightly encrypted backups and a quarterly restore drill.
- Notice within 24 hours of us confirming a security incident that touches your data.
- Notice before our sub-processor list changes.
- Support on the channel your plan says, at the speed your plan says.
7 · What you owe us
- Accurate information about your school, and payment of invoices when due.
- Keeping your staff accounts to the people who should have them, and removing those who leave.
- Obtaining whatever consents your school needs to hold and process its students' data.
- Not attempting to reach another school's records, or to break the isolation between them.
8 · If an invoice goes unpaid
The account goes read-only, not dark. You can still open records, print receipts and export everything for 90 days. Nothing about a child's history is used as leverage on an invoice.
9 · Ending it
You may close your account at any time; the current term is not refunded. We may end the agreement for non-payment after notice, or immediately for use that endangers other schools' data. On closure we keep your data for 90 days so you can change your mind, then delete it.
10 · Liability
We are liable for what we get wrong, capped at the fees you paid us in the twelve months before the claim. We are not liable for what a school's own staff enter, delete or decide, nor for your obligations to a board or regulator. Nothing here limits liability that cannot lawfully be limited.
11 · Changes
We may change these terms for a following term, with notice before your renewal. We will not change them mid-term in a way that reduces what you are getting.
12 · Law
Indian law, courts at Pune. Where these terms and a signed order form or DPA disagree, the signed document wins.
